These Terms and Conditions govern your use of the Energy & Body Work LLC websites located at energyandbodywork.com and energyandbodywork.directory, and your participation in any membership, directory listing, affiliate program, or other program offered by Energy & Body Work™.

By accessing our websites or purchasing any product or membership, you agree to be bound by these Terms and Conditions. Please read them carefully.

1. WHO WE ARE

Energy & Body Work LLC is owned and operated by Krystyna Hales and Debi Hales ("we," "us," "our"), based in Idaho, United States. We provide a practitioner directory and membership community for energy and body work practitioners.

2. ACCEPTANCE OF TERMS

By registering for a free listing, purchasing a listing or membership, or using our websites, you confirm that you are at least 18 years of age and agree to these Terms and Conditions in full. If you do not agree, do not use our website.

3. MEMBERSHIP TIERS AND SERVICES

We offer the following products and membership tiers:

FOUNDING DIRECTORY LISTING (free)

The first 50 practitioners receive a permanent, lifetime access to an optimized directory listing on energyandbodywork.directory. The founding listing offer is available for a limited time only, when 50 founding practitioners have joined.

Founding listing access includes: a complete, searchable practitioner profile with up to 5 modalities and 5 professional photos, full profile sections including About Me, How I Support, Services, and Specialties

Website, social media, and booking links, client reviews and analytics, founding member placement, listed before all future standard listings, access to The Energy & Body Work™ Inner Circle Facebook community.

Founding members retain lifetime access to their directory listing at no cost for as long as the Energy & Body Work™ directory remains active. After the founding period closes, new directory listings are available as part of the Elevate membership tier (see below). Founding listing holders are not subject to recurring fees unless they voluntarily upgrade to a paid membership tier.

Energy & Body Work™ reserves the right to modify directory features, add new listing tiers, or adjust the platform with reasonable notice to active listing holders. The core listing functionality and placement guaranteed at time of purchase will be honored.

All sales are non-refundable. If you experience a technical issue or billing error, please contact us at [email protected] and we will work to resolve it promptly.

We also offer the following membership tiers:

ALIGN (Free)

A free directory listing with basic profile features and access to The Energy & Body Work™ Inner Circle community.

ELEVATE ($27/month or $270/year)

An expanded directory listing with priority placement, full profile features, website/social/booking links, reviews and analytics, community access, and affiliate program eligibility.

THRIVE ($47/month or $470/year)

A fully optimized directory listing with top placement, homepage spotlight, unlimited modalities, images and video, What to Expect and Testimonial sections, plus full access to The Collective membership community including monthly challenges, networking events, social media templates, and exclusive bonuses.

Features and pricing are subject to change with 30 days' written notice to active members.

4. PAYMENTS AND BILLING

Paid memberships (Elevate and Thrive) are billed on a recurring monthly or annual basis via Stripe or PayPal. By purchasing a membership you authorize us to charge your payment method on a recurring basis until you cancel.

Founding member rates are locked in for the duration of your active membership. If you cancel and rejoin, standard rates apply.

Annual memberships are billed in full at the time of purchase.

We reserve the right to update pricing with 30 days' written notice. Price changes apply to new billing cycles after the notice period.

5. CANCELLATION POLICY

You may cancel your membership at any time by contacting us at [email protected] or through your account settings. Cancellations take effect at the end of your current billing period. You will retain access to your membership until the end of the paid period.

We do not offer refunds on monthly or annual membership fees. If you experience a technical issue or billing error, please contact us and we will work to resolve it promptly.

Note for founding listing holders: The $27 founding listing fee is non-refundable. Founding listing access is provided for as long as the Energy & Body Work™ directory remains operational. In the event the directory is permanently closed, we will provide at least 30 days' written notice to all active listing holders.

6. DIRECTORY LISTINGS

By submitting a directory listing, you confirm that:

- All information provided is accurate and truthful.

- You hold and are current in any certifications, qualifications, or credentials claimed in your listing.

- You own or have the right to use any images, text, or other content submitted.

- Your services comply with all applicable laws and professional standards.

We reserve the right to remove or edit any listing that contains inaccurate, misleading, or inappropriate content, or that violates these Terms, at our sole discretion and without notice.

7. ACCEPTABLE USE

You agree not to use our websites or services to:

- Post false, misleading, or fraudulent information.

- Harass, abuse, or harm other members or visitors.

- Spam or send unsolicited communications to other members.

- Violate any applicable laws or regulations.

- Attempt to gain unauthorized access to our systems or other members' accounts.

- Reproduce, distribute, or sell any content from our platforms without written permission.

We reserve the right to suspend or terminate your account for any violation of these terms without refund.

8. INTELLECTUAL PROPERTY

All content on our websites, including text, images, branding, course materials, templates, guided meditations, and resources, is owned by Energy & Body Work™ and protected by copyright law. You may not reproduce, distribute, or use our content for commercial purposes without written permission.

Content you submit to us (such as your listing bio, images, and testimonials) remains your property. By submitting it, you grant us a non-exclusive license to display it on our platforms for the purpose of providing our services.

9. DISCLAIMER OF WARRANTIES

Our services are provided "as is" without warranties of any kind. We do not guarantee that our directory will result in a specific number of client inquiries, bookings, or business outcomes. Results vary based on individual effort, listing quality, and market conditions.

Energy and body work services listed in our directory are provided by independent practitioners. We do not endorse, verify, or take responsibility for the quality, safety, or outcomes of any practitioner's services.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Energy & Body Work™ shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services, including but not limited to loss of income, loss of data, or business interruption.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the three months preceding the claim.

11. COMMUNITY CONDUCT

Members of The Energy & Body Work™ Inner Circle and The Thrive Collective are expected to engage respectfully and constructively. We reserve the right to remove any member from our communities for conduct that is harmful, disrespectful, or inconsistent with our values, without refund.

12. AFFILIATE PROGRAM

Participation in the Energy & Body Work™ Affiliate Program is governed by the terms set out in this section. By submitting the affiliate signup form and using your affiliate link, you confirm that you have read, understood, and agreed to these terms in full.

12.1 Eligibility

Participation is open exclusively to active Elevate and Thrive members. Align (free tier) members are not eligible. To be eligible, you must:

- Hold an active, paid Elevate or Thrive listing at the time of application and throughout your participation.

- Be at least 18 years of age.

- Have a valid PayPal or Stripe account to receive payouts.

- Agree to these terms in full by submitting the affiliate signup form.

We reserve the right to decline or revoke affiliate status at our discretion, including if your membership lapses or is removed.

12.2 Commission Structure

Commissions are calculated as a percentage of the net subscription amount paid by a referred practitioner, excluding taxes, fees, and discounts.

Standard Affiliate: 20% recurring, for life.

"For life" means commissions continue for as long as the referred practitioner maintains an active paid subscription. Commissions cease if they cancel, downgrade to Align, or their account is removed.

12.3 Tracking & Attribution

- Cookie window: 30 days from first click on your affiliate link.

- First click attribution: If a referred practitioner clicks multiple affiliate links, the first click is attributed.

- Upgrades: If a referred practitioner joins on Align and later upgrades to a paid plan within the 30-day attribution window, you will earn commission from the point of upgrade.

12.4 Payouts

- Schedule: Monthly, processed on the 1st of each month for commissions earned the previous calendar month.

- Minimum threshold: $25.00 USD. Balances below $25 roll over until the threshold is reached.

- Hold period: Commissions are held for 30 days after referred signup to allow for cancellations and refunds.

- Payout method: PayPal or Stripe. You must connect your preferred payout method in your affiliate portal before your first payment can be processed.

- Taxes: You are solely responsible for reporting and paying any taxes applicable to your affiliate income. We do not withhold taxes on behalf of affiliates.

12.5 Sales, Promotions & Discounts

During promotional periods, commissions are calculated on the actual discounted amount charged. Affiliates are notified of upcoming promotions in advance.

12.6 Program Changes & Closure

We reserve the right to modify, pause, or close the affiliate program at any time. Changes to commission rates will be communicated with 30 days' written notice and apply to new referrals only.

12.7 Affiliate Inactivity

Affiliate accounts with no referred signups within any 12-month period may be reviewed. We reserve the right to close inactive accounts with 30 days' written notice. Founding rates apply to active affiliates in good standing only.

12.8 Chargebacks & Refunds

Commissions on subscriptions that result in a chargeback, dispute, or refund will be deducted from future payouts. Repeated patterns of referred chargebacks may result in review or termination of your affiliate account.

12.9 Prohibited Conduct

The following activities are strictly prohibited and may result in immediate termination and forfeiture of unpaid commissions:

- Running paid advertising that bids on Energy & Body Work™ branded keywords or trademarks.

- Sending unsolicited bulk email (spam) containing your affiliate link.

- Making false, misleading, or exaggerated claims about the directory or its benefits.

- Self-referral (referring yourself or members of your immediate family or household).

- Cookie stuffing, link hijacking, or any other fraudulent tracking manipulation.

- Any activity that violates applicable laws or regulations.

13. CHANGES TO THESE TERMS

We reserve the right to update these Terms and Conditions at any time. We will notify active members of material changes by email with 30 days' notice. Continued use of our services after changes take effect constitutes acceptance of the updated terms.

14. GOVERNING LAW

These Terms and Conditions are governed by the laws of the State of Idaho, United States. Any disputes shall be resolved in the courts located in Bingham County, Idaho.
